Credit Union Forms Terms & Conditions

This collection of forms and all other documents available from time to time through the Online Store (“Materials”) are owned by the W.C.U.L Services Corp (“LSC”). Please carefully review these Terms and Conditions of Use (“Terms”) before using any of the Materials. Accessing or using any of the Materials in any way indicates your acknowledgement and acceptance of these Terms. If you do not agree to all of these Terms, you are prohibited from accessing or using the Materials for any purpose.

These Terms are agreed upon between LSC and any person or entity who accesses or uses the Materials in any way (the “User”). Throughout these Terms, “you” or “your” refers to the User.

  • Forms Material Formats. Forms are provided by annual subscription only in an electronic PDF Fillable format only. By accessing the form you agree to be bound by these Terms. 
  • Ownership. You acknowledge that LSC is the owner of all rights, including intellectual property rights, in and to the Materials. Except as otherwise provided in this Agreement, you are not granted any right or license in and to the Materials or their content by contract, implication, estoppel or otherwise. 
  • Limited License. LSC grants a non-exclusive, non-transferable, revocable and limited license to use the Materials only in connection with the business operations of your credit union, in connection with the offering of services to your credit union’s members and in accordance with these Terms. This license is granted to you only and does not permit you to allow any third parties to access or use the Materials in any way. 
  • Acceptance. If you do not accept these Terms, you must return paper Materials or destroy electronic Materials before accessing or using any portion of them.   
  • Limitations on Use. You agree that you will use the Materials only as permitted in these Terms and that any use not expressly permitted in these Terms is prohibited. You agree that you will not: 
    • Alter or modify the Materials in any way other than to complete blank spaces or to indicate the name of your credit union and member or as otherwise expressly directed; 
    • Copy, distribute, adapt, translate, transform, use, publicly display or create derivative works of the Materials, except as permitted in these Terms; 
    • Rent, lease, loan, sell or sublicense the Materials; or 
    • Remove, modify, alter or obliterate any trademarks, service marks, logos or copyright notices on or in the Materials. 
  • Your Obligations. You agree to timely pay all fees as required by LSC; to abide by these Terms; to take all reasonable precautions to safeguard access to the Materials and to prevent unauthorized use of the Materials; and to promptly report to LSC any unauthorized use of or access to the Materials. In addition, you agree to have any third-party that you engage to provide information technology or other consulting services to sign a confidentiality agreement in connection with the Materials in a form provided to you by the LSC. 
  • Errors. LSC does not represent or warrant that the Materials, or any content in them, will be correct, accurate, timely, comply with applicable laws or otherwise reliable. You assume the entire risk of using the Materials. 
  • Term. The Materials are available for the one year subscription.  The subscription is renewable annually.
  • Termination. Upon termination or expiration of the term of your license to the Materials, you may not use or access the Materials in any way, and any and all rights granted to you in these Terms shall immediately terminate. 
  • Assignment. These Terms are entered into in reliance upon and in consideration of representations you have made concerning your business and your agreement to be limited by the use restrictions contained in this Agreement. Neither these Terms nor any of the rights, privileges or obligations described in these Terms shall be assigned, transferred or divided in any manner by you without the written approval of LSC. You may not assign this Agreement or any rights or duties described in it without the prior written consent of LSC. 
  • DISCLAIMER OF WARRANTIES. THESE MATERIALS ARE PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES OF ANY KIND. LSC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 
  • LIMITATION OF LIABILITY. LSC SHALL NOT BE LIABLE FOR ANY LOSS, INJURY, CLAIM, LIABILITY, OR DAMAGE OF ANY KIND RESULTING FROM YOUR ACCESS OR USE OF THE MATERIALS. LSC SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE ACCESS, USE OR INABILITY TO USE THE MATERIALS. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS INAPPLICABLE OR UNENFORCEABLE FOR ANY REASON, LSC’S SOLE OBLIGATION TO YOU FOR ANY TYPE OF DAMAGES SHALL BE LIMITED TO THE TOTAL YOU HAVE PAID LSC IN THE PRIOR YEAR FOR ANY OF THE MATERIALS YOU HAVE PURCHASED FROM THE ONLINE STORE. 
  • Indemnification. You agree to indemnify, defend and hold harmless LSC, its officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms by you. 
  • Remedies. LSC reserves the right to seek all remedies available at law or in equity for violation of these Terms, including, without limitation, the right to recover copies of the Materials, refuse to license future or revised materials to you and the right to seek an injunction if appropriate. 
  • Venue, Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflicts of law principles. Any action commenced in regard to these Terms shall be venued in the courts in Wisconsin, whether state or federal, and you hereby consent to jurisdiction of such courts. 
  • Entire Agreement. These Terms shall constitute the entire agreement of the parties with respect to the subject matter described in this Agreement and all prior understandings, representations, or communications, writing or agreements, whether oral or written, are hereby revoked and are superseded by the terms of the these Terms. If any provision of these Terms is deemed unlawful, void or unenforceable, then that provision shall be severed from the remaining provisions and shall not affect their validity or enforceability. Such invalid, illegal or unenforceable part or portion shall be deemed revised to effect, to the fullest extent permitted by law, the intent of the parties as set forth in this Agreement.
